PhilWeb and its wholly owned unit PhilWeb Capital Corporation signed agreements to acquire a combined 10.73 million Common B shares in JKS at P394 per share. The parent company will take 3.41 million shares valued at approximately P1.34 billion, while PhilWeb Capital accounts for the remaining 7.32 million.
The exchange invoked rules governing substantial acquisitions and reverse takeovers, which mandate a comprehensive filing and temporary suspension when a listed entity buys into an unlisted business at a scale exceeding 10% of its own book value. PhilWeb's commitment is nearly 7.7 times its June 30 asset total of P548.46 million, recorded before JG Summit tycoon Lance Gokongwei completed a separate P2 billion capital injection.
