Jardine Cycle & Carriage has agreed to divest its automotive dealership business in Singapore and Malaysia to Chandra Asri Pacific for S$265 million (US$208 million), according to the company. The transaction includes automotive entities in both markets plus associated trademarks in Singapore, Malaysia and Myanmar, which will transfer to CCHPL Holdings, a wholly owned Chandra Asri subsidiary.
The disposal represents a calculated exit from two mature markets for JC&C, which is approximately 86% owned by Jardine Matheson Holdings, the flagship of the Hong Kong-based Keswick family empire. The company stated the sale allows it to crystallize value from the Cycle & Carriage business while concentrating resources on Indonesia and Vietnam, where it sees stronger growth trajectories.
JC&C expects to book a gain of roughly US$221 million from the transaction, based on first-half 2026 financials. The deal remains subject to partner approvals and standard closing conditions.
What Changes Hands
In Singapore, JC&C operates six facilities handling Mercedes-Benz, Kia and Mitsubishi franchises. The business also runs Republic Auto, a used-vehicle operation, alongside car leasing services and electric vehicle supply contracts with logistics companies.
Across the causeway in Malaysia, the company maintains 11 sales and after-sales centers under the Mercedes-Benz banner. The dealership network has been part of JC&C's regional footprint since the company's founding in 1899, when it began as a bicycle and motorcycle trader in Southeast Asia.
The trademarks being sold extend to Myanmar, suggesting JC&C had considered or maintained rights for potential expansion into that market, though the announcement did not detail active operations there.
Buyer's Mobility Play
For Chandra Asri Pacific, the acquisition marks an entry into automotive retail, complementing its core energy and petrochemicals operations. Erwin Ciputra, president director of the group, described the purchase as a milestone in transforming Chandra Asri into a regional provider of energy, chemicals, infrastructure and mobility solutions.
The Indonesia-listed conglomerate has been expanding aggressively in Singapore. Last October, it acquired Esso's fuel station network in the city-state. Months earlier, Chandra Asri partnered with commodities trader Glencore to buy Shell's Singapore refinery and petrochemical assets, securing both upstream production and downstream retail infrastructure.
Adding automotive dealerships creates a natural synergy with its fuel retail network. The combined footprint positions Chandra Asri to offer integrated mobility services, from fuel and charging infrastructure to vehicle sales and leasing, particularly as Singapore accelerates its push toward electric vehicles.
The Man Behind the Deal
Chandra Asri is controlled by Prajogo Pangestu, Indonesia's second-richest individual with a net worth of $17.3 billion, according to Forbes. Pangestu built his fortune through Barito Pacific, originally a timber concern that he transformed into an energy and petrochemicals conglomerate. Chandra Asri operates as part of the Barito Pacific group.
Pangestu previously ranked as Indonesia's wealthiest person before a stock market downturn this year erased more than half his net worth. He now trails Singapore-born coal magnate Low Tuck Kwong, whose fortune stands at $21.2 billion.
Despite the wealth decline, Pangestu has maintained an aggressive acquisition strategy, particularly in Singapore, where regulatory stability and strategic location offer a platform for regional expansion. The Jardine dealerships give him immediate access to premium automotive brands and an established customer base in two high-income markets.
Regional Auto Dynamics
